An updated notice published on October 19 brought the number of companies that had objected to 16, according to CoinDesk. Other names include Qualcomm, Caterpillar, McDonald’s and Western Digital.

The objections do not amount to a rejection of blockchain technology across Wall Street. Instead, they highlight a dispute over who controls how publicly traded shares are represented, distributed and traded on emerging digital-asset platforms.

The dispute follows a regulatory change announced by the U.S. Securities and Exchange Commission on September 17. The SEC introduced a temporary, conditional “Innovation Exemption” intended to let qualifying tokenized-securities venues experiment with blockchain-based trading without complying with every requirement normally applicable to traditional exchanges.

Under the framework, eligible venues can use permissioned automated market makers and liquidity pools to facilitate trading. The exemption is scheduled to last five years, subject to its conditions, while the SEC seeks public feedback and considers further action.

The rules also establish an important safeguard for issuers. Before listing a third-party tokenized version of a stock, a venue must notify the company behind the underlying shares and give it an opportunity to object. A venue operating under the framework cannot simply ignore a valid issuer objection.

OKX and ICE announced their joint venture, OKXICE, as a potential new route for trading tokenized U.S. equities. Its proposed model is designed to support round-the-clock trading and stablecoin settlement, with tokens backed one-for-one by underlying shares and intended to carry equivalent dividend and voting rights.

However, the SEC requires participating venues to verify that tokenized shares provide the same rights and privileges as traditional stock of the equivalent class. Smart contracts must also meet specified auditability and disclosure requirements, and tokenized trading must stop when trading in the underlying shares is halted.

The public objections do not provide detailed explanations for each company’s decision. It would therefore be premature to attribute a single motive to Microsoft, Alphabet, Goldman Sachs or the other issuers.

Nevertheless, the dispute raises several questions for companies whose shares might trade on a new venue. They may want greater clarity on how tokenized markets affect price formation, liquidity, market surveillance, shareholder records and investor protections. They may also be reluctant to participate in an experimental regulatory structure before its long-term status becomes clearer.

Regulatory uncertainty is another challenge. The SEC’s exemption is temporary, and future changes could affect how tokenized securities venues operate. For companies and institutional investors considering integration with these platforms, that uncertainty may complicate long-term planning.

OKX-ICE co-chair Andrew Cuomo described issuer objections as a natural response to a major change in market structure. He said the model was designed to let companies choose whether to participate, and that some would prefer to wait and see how the market develops.

Tokenization can offer potential advantages, including faster settlement, programmable transfers and trading outside conventional market hours. But a blockchain token that tracks a stock is not necessarily equivalent to direct ownership of that stock.

Some products available outside the proposed framework provide economic exposure through derivatives or contractual claims rather than ownership of the underlying shares. Rights to dividends, voting, redemption and legal recourse can differ. The distinction matters because investors may interpret a token’s name or price tracking as evidence that they hold the same rights as conventional shareholders.

The SEC’s framework attempts to address these concerns for venues operating under its exemption. Yet compliance with the rules does not guarantee that every issuer will agree to have its shares listed.

The growing list of objections could narrow the range of stocks available on OKXICE’s planned venue and complicate efforts to attract investors seeking familiar blue-chip names. At the same time, the objections do not establish that tokenized equities as a whole will fail: issuers can make different decisions, and financial institutions continue to explore blockchain-based markets for other assets.

The central question is whether tokenized trading can offer enough practical value to persuade issuers, regulators and investors to support it. Blockchain infrastructure may change how securities move and settle, but it does not automatically replace the legal rights, market safeguards and issuer relationships underpinning traditional equity ownership.

For tokenized stocks, technical execution is only part of the challenge. Broad adoption will also depend on cooperation from the companies whose shares these markets aim to bring on-chain.

Microsoft, Alphabet and Goldman Sachs are among a growing group of companies objecting to plans to trade tokenized versions of their shares, exposing a significant obstacle to the expansion of blockchain-based securities markets: crypto platforms may be able to build new trading infrastructure, but they cannot assume that traditional companies will agree to participate.
